Tabuk Villája Academy: Terms of Use

1. Introduction and Purpose of the Document

These Terms of Use (“Terms of Use”) govern the use of a platform called Tabuk Villája Academy, which is operated by Cinkostárs Ltd. (owner and operator of the Tabuk Villája Psychological Center, hereinafter referred to as “Service Provider”), and is exclusively accessible to franchise partners as a closed, online professional platform (“Academy”, “Platform”).

The aim of the Terms of Use is to clearly establish the legal, ethical, and technical framework for the use of the system for Users, with particular attention to the protection of intellectual property, maintenance of business secrecy, and regulation of access.

By accessing the Academy, the User declares that they have read, understood, and consider these Terms binding upon themselves.

2. Definitions

  • Provider: Cinkostárs Ltd., the exclusive owner and operator of the Tabuk Villája Psychological Center and the Academy.

  • User: A psychologist, psychotherapist, or psychiatrist who is in a valid franchise contract relationship with the Provider, as well as the owners, employees of the Provider, and designated representatives of the IT service provider.

  • Franchise Agreement: The contract entered into between the Parties, which regulates the legal relationship between the Parties.

  • Academy / Platform: An internal, closed-system professional support platform, providing access to professional content, protocols, methodological materials, and training materials.

  • Intellectual Property: All documents, videos, notes, methodological guides, protocols, structures, graphic elements, or system descriptions available on the Academy, which are the exclusive property of the Provider.

  • Access Data: The User’s email address and the password provided by them, ensuring access to the Academy.

3. The Nature of the Service and Access Conditions

3.1. The Academy is an exclusive internal knowledge and development system created only for partners who have contracted with the Service Provider.

3.2. Users are allowed to log in using unique, personal access credentials only.

3.3. It is strictly forbidden to share access credentials with third parties. This prohibition applies to other professionals, relatives, interns, and anyone who does not have independent, contractually provided authorization.

3.4. The Service Provider has the right to suspend or permanently revoke access if the User breaches the contract, especially in cases of intellectual property infringement or violation of confidentiality obligations.

3.5. Access is automatically terminated when the User's franchise contractual relationship with the Service Provider ends for any reason.

4. User Rights and Restrictions

4.1. The User is entitled to view, use for learning purposes, and apply for their own professional development the professional materials found at the Academy during the duration of the franchise agreement.

4.2. The User is not entitled to:

  • copy, download, or reproduce the materials (including screenshots, PDF exports, printing),

  • use them in external trainings, workshops, or further education,

  • repackage or rework the materials for use under their own name,

  • share or transmit them with people outside the franchise partners,

  • publish on public or semi-public online platforms (e.g., social media, professional groups, training platforms).

4.3. Violating these restrictions constitutes a breach of business secrets and leads to the legal and compensatory consequences defined in the franchise agreement.

5. Protecting Access Information

5.1. The User is solely responsible for managing their login information.

5.2. The password must be kept confidential, and sharing it with third parties is forbidden.

5.3. The Service Provider is entitled to perform system-level checks to prevent misuse (e.g., the system may deny access if there is simultaneous active use from multiple IP addresses).

5.4. In case of suspected unauthorized access, the User must immediately report it to the Service Provider.

6. Intellectual Property and Content Use

6.1. All content available on the Academy—inclusive of its structure, organization, documents, notes, graphic elements, internal systems, and training materials—is the exclusive intellectual property of the Provider.

6.2. Access to the materials signifies a usage right, not ownership.

6.3. Without the Provider's written permission, it cannot be reproduced or made available, either partially or entirely, to a third party.

6.4. In the event of termination of the franchise agreement, the User is obliged to promptly delete all content sourced from the Academy and must not use it in any form thereafter.

7. Confidentiality and Legal References

7.1. The User is bound by a strict confidentiality obligation based on Section 6 – Confidentiality, Copyright Provisions of the Franchise Agreement.

7.2. Appendix 2 – Point 11 of the Brand Manual expressly prohibits the external use of materials related to the Academy and their transfer to third parties.

7.3. These Terms of Use confirm and complement these points, thus confidentiality related to the Academy should be treated in every respect as a business secret.

7.4. The confidentiality obligation does not automatically terminate when access ends; it continues to remain in effect.

8. Professional and Ethical Compliance

8.1. When studying and applying content available on the Academy, the User must act in accordance with the principles outlined in the Code of Ethics for Psychologists.

8.2. The professional materials and operation of the Academy are in alignment with the fundamental principles of the Ethical Code from the Service Provider's side, with particular attention to respect for human dignity, transparency, professional responsibility, and acknowledging the boundaries of competence.

8.3. Violations of ethical standards may result in the immediate revocation of access and an internal professional procedure.

9. Responsibility and Operational Limitations

9.1. The Academy is a professional system under development, which the Service Provider designs and maintains to the best of its ability.

9.2. The Service Provider is not liable for potential technical errors, temporary unavailability, content mistakes, or lack of information, but strives to continuously improve the system.

9.3. The User acknowledges that the materials found in the Academy serve as internal professional support and do not replace independent professional decisions or supervisory frameworks.

10. Termination of Access

10.1. Access automatically ends when the User's franchise contractual relationship with the Provider ends for any reason.

10.2. The Provider reserves the right to suspend or withdraw access at any time, without explanation, with immediate effect.

10.3. Upon withdrawal of access, the User is not entitled to further access, and is obliged to permanently delete all materials in their possession.

11. Final Provisions

11.1. By logging in, the User declares that they accept these Terms of Use.

11.2. The Provider has the right to unilaterally modify the Terms, and will inform the User electronically about the changes.

11.3. If the User continues to use the Academy after the modifications, it is considered as automatic acceptance.
